[ATVE]: Activecore Technologies Inc., Peter Hamilton & Brian MacDonald. The Filing of False and Misleading Statements with the SEC

1. Peter Hamilton is the current President and CEO of Activecore Technologies Inc. (“ATVE” or “the Company”) a publicly traded company with OTC symbol ATVE.

2. Brian MacDonald was the former Chairman of ATVE.

3. SEC regulations call for the filing of Form 4 with the SEC by the end of the 2nd business day following the transfer, sale, purchase or grant of securities of a public company by its officers and directors.

4. According to SEC filings, on April 28, 2004 Peter Hamilton divested of 23.9 million ATVE common shares. On the same date, April 28, 2004 Peter Hamilton received 20.8 million ATVE common shares from ATVE. According to SEC filings, Peter Hamilton owned a total of 27.2 million ATVE common shares as of April 28, 2004 as a result of these transactions.

5. According to SEC filings, on April 28, 2004 Brian MacDonald divested of 23.2 million ATVE common shares. On the same date, April 28, 2004 Brian MacDonald received 25.8 million ATVE common shares from ATVE. According to SEC filings, Brian MacDonald owned a total of 32.2 million ATVE common shares as of April 28, 2004 as a result of these transactions.

6. As per paragraphs 4 & 5 above, the total amount of ATVE common shares owned by Hamilton and MacDonald as of April 28, 2004 was 59.4 million.

7. Even though SEC regulations required Hamilton and MacDonald to file the form 4 with the SEC by the second business day after their purchase/sell transactions, they delayed the form 4 filings for almost 8 months, until December 15, 2004. These form 4 SEC filings by Hamilton and MacDonald are listed below, together with the proper secinfo.com links:

http://www.secinfo.com/d12TC3.1w81.htm
Macdonald Brian John • 4 • Activecore Technologies Inc • For 12/1/3 Filed On 12/15/4 12:37pm ET • SEC File 0-30397 • Accession Number 1144204-4-21774

http://www.secinfo.com/d12TC3.1w8z.htm
Ham ilton Peter J • 4 • Activecore Technologies Inc • For 12/1/3 Filed On 12/15/4 12:40pm ET • SEC File 0-30397 • Accession Number 1144204-4-21775

8. There are no other SEC filings between April 28, 2004 and December 15, 2004 that show the sale, purchase, transfer, grant, divestment or any other transactions for ATVE common stock by Hamilton and MacDonald.

9. From the end of April 2004 to December 15, 2004, the period between when Hamilton and MacDonald were required by the SEC to file their form 4’s illustrating their ATVE common stock sales of 47.1 million and when they actually filed the form 4 with the Securities & Exchange Commission, the Company issued numerous public statements and press releases regarding the bullishness of ATVE’s business. None of these public statements by Hamilton, MacDonald and ATVE stated that the two Officers/Directors had sold 47.1 million common shares of ATVE in April 2004. These 47.1 million shares amounted to approximately 14% of ATVE’s total common shares outstanding, and almost 50% of these two officers’ holdings as of April 28, 2004. These percentages would be considered significant by any measure. The sale of such large ownership in a company and such large percentage of their holdings by its two top officers/directors would be considered very bearish.

10. In preparation for ATVE’s annual shareholders meeting scheduled for November 29, 2004, ATVE filed a proxy statement with the SEC, which was also sent to all stockholders of record. This proxy statement, form DEF 14A, was filed on November 2, 2004. A vote by stockholders was expected to occur during this annual meeting to a reverse split of the company’s common shares as such:

(2) To approve an amendment to the Company's Articles of Incorporation to allow the Board of Directors to authorize a split or reverse split in the outstanding common stock of the Company at any time determined solely by the Board of Directors without calling a special meeting or annual meeting of shareholders provided the authorized common stock does not exceed the current 500,000,000 shares;

11. In a bold move to deceive the stockholders and potential investors of ATVE, the proxy statement mentioned in paragraph 10 above failed to include the sale of 47.1 million shares of ATVE common stock by Hamilton and MacDonald which occurred almost 7 months before the filing date of November 2, 2004 for the proxy statement. The link below shows that, in the proxy statement, Hamilton and MacDonald falsely stated that they owned a combined total of 106.5 million ATVE commons shares, when in reality, as per paragraph 6 above, they only owned a total of 59.4 million ATVE common shares. The difference in the amount falsely reported and the actual amount owned was the 47.1 million shares of ATVE that were sold on April 28, 2004 by the two officers.

Activ ecore Technologies Inc • DEF 14A • For 11/29/4 Filed On 11/2/4 2:13pm ET • SEC File 0-30397 • Accession Number 1144204-4-17441

Brian MacDonald Common Stock 55,376,418 11.5%
Peter Hamilton Common Stock 51,076,418 10.7%

12. In another bold move to falsify ownership of common stock by Hamilton and MacDonald, only 3 days after the filing of the false proxy statement, ATVE filed a registration statement with the SEC on November 5, 2004, a form SB-2. This SEC filing also falsely listed the total ownership of Hamilton and MacDonald as 106.5 million ATVE common shares. See the link and details below.

http://www.secinfo.com/d12TC3.1hDg.htm#4xe8
Activecore Technologies Inc • SB-2 • On 11/5/4 Filed On 11/5/4 5:21pm ET • SEC File 333-120267 • Accession Number 1144204-4-17855

The following table contains information about the beneficial ownership of our common stock as of October 18, 2004 for:

Brian MacDonald Common Stock 55,376,418 11.5%
Peter Hamilton Common Stock 51,076,418 10.7%

13. Finally, after the sale of the 47.1 million ATVE common shares on April 28, 2004,

and

after the false statements in the proxy statement filed with the SEC on November 2, 2004,

and

after the false statements in the registration statement filed with the SEC on November 5, 2004,

and

after the November 29, 2004 Annual Shareholders meeting,

and

after the 8 month late December 15, 2004 form 4 filing of the sale of the 47.1 million ATVE common shares,

the Company finally files an Amended registration statement on January 4, 2005 stating the correct number of ATVE common shares owned by the two officers, 59.4 million. See below:

http://www.secinfo.com/d12TC3.z4v.htm
Activecore Technologies Inc • SB-2/A • On 1/4/5 Filed On 1/4/5 2:02pm ET • SEC File 333-120267 • Accession Number 1144204-5-144

The following table contains information about the beneficial ownership of our common stock as of December 21 , 2004

Brian MacDonald Common Stock 32,196,969 6.6%
Peter Hamilton Common Stock 27,196,969 5.6%

14. Did ATVE, Hamilton and MacDonald delay the form 4 filing of the sale of 47.1 million ATVE common shares by 8 months and did they file false and misleading ownership of ATVE common stock by the two officers with intent to deceive the investment public - and two times at that? You decide.

Completely off topic, but can you image the losses folks that have bought into the Boca Raton real estate bubble are going to suffer?

Forbes and Templeton are making loud noises about a real estate meltdown. Boca is one of the most inflated markets out there.

Anyone who bought big since Jan 2006 is going to lose a ton of dough.

Some of them deserve to be wiped out though - they aren't nearly as savvy as they like to think they are. It's going to look mighty good on them.

Sorry for the diversion. Just thought I would share.

Somebody should grab copies of all the material, such as CEO interviews, announcements and so on that are available before housecleaning is done.

Seriously.

also off topic, but what the heck...

I had this bad dream last night. I dreamt that I had a friend working for me inside a bank and he helped me get a big mortgage, but my friend 'forgot' to register my mortgage. Later in this dream I sold my house and moved away, and 'forgot' to pay the mortgage back when I sold it.

Oh it was horrible. My friend was going to be put away because someone who knew told the bank so he tried to blame me to save his own skin. It was awful. Just before I woke up, I dreamt I put on my robe, went downstairs, got a coffee, then sat down at my computer to pump some stocks.

I woke up in a cold sweat. Whew.

Anybody out there good at interpreting dreams? I'm really puzzled about this one...

DO your readers like poetry? If so, there is a classic that comes to mind this day. Marmion, by Sir Walter Scott.

Yet Clare’s sharp questions must I shun;
Must separate Constance from the Nun-

Anybody recall the next two lines? They're often attributed, falsely, to Shakespeare.

Here'e a link to the poem online in case anyone is interested...

is Cybux still a viable acquisition?

Well, by George, it looks like Zorba got caught out trying to tell another tall tale... this time trying to tell folks that they have sales activity going on in the Boca Raton office.

What Boca Raton office? Seen any rent on the books?

Then he tries to hint that there are eP salespeople working there. Sure.

The only salesperson there is Zorba, in his house. And, Zorba couldn't answer the simplest question about eP. Zorba is useless when it comes to doing any real work. Always has been.

Question ABSOLUTELY EVERYTHING. QUESTION EVERY WORD. MAKE NO ASSUMPTIONS.

Zorba's been quiet today. Could Zorba be contemplating what it means for someone who knows too much to be talking? did they make a deal? a bargain? to save their own hide? are they singing like a dickie bird?

could it be that Zorba is being watched? is the goose cooked?

say, EIEIO man is pretty quiet too... could it be that EIEIO man is doing his talking somewhere else?

Hail Caesar! Oh, and maybe Zorba will check out the bar at the new hotel right beside the Boca office. You know the one just off I95, across from the shopping plaza? I hear it's very pleasant.

Quite a day it's been over at Zorba's "board". Tito the Ham sandwich weighs in midday to pump, and EIEIO man flips him the bird. And to think they were once such good pals (until Zorba made the scene).

Looks like Zorba acted quickly to muzzle EIEIO man, and they also had second thoughts about Ham sandwich's post, and took that down as well. Yes, folks, it's getting interesting over there.

Maybe Zorba has figured out that the jewelled EIEIO man is talking, is singing like a dickey bird, and Ham sandwich, desperate to eat, steps in to pump some life. Anybody notice the small transaction that started the day? Could that be manipulation? EIEIO man is telling it all.

Know what, Zorba? Ham sandwich is in the process of hanging you out to dry. Zorba, been watching the gaming biz news? The stars are aligning for Zorba to take the whole rap! Going to be a lot of people cheering when that goes down! Hail Caesar!

Zorba, did a wise man once say "walk away while you still can"? Is that good advice for upstanding guys like you Zorba?

What's taking you so long to get a deal, Zorba? Are they doing their homework Zorba? Do they like what they see when they take a look at you Zorba? Or are you on the chopping block? No deal with runt Zorba in the picture? Get rid of Zorba?

EIEIO man is sounding desparate these days? Zorba, can't you tell him the deal is coming any day now? Pump the fool a bit? He's saying bad stuff you know to force you to pump for him.

Your puppet is going to cut the strings and take it all for himself. Fish for brains is taking the fall for the Ivory Tower - you know, the ones with feet of clay.

He says he's going back to FL for the winter to play some cards and hang a little mediterranean prick out to dry. You know how he loves to spread his wealth amongst the lawyers. Wow, Zorba, you've become the main attraction!

Important visitors from Old Blighty coming over; a big fat file to Her Majesty from the crazy wench; the Ham sandwich that is playing you for a fool. Complicated life you have going there Zorba. Oh yes, I forgot, HSBC was on the phone recently too.

So, Zorba, you been over to the bar yet at the Hilton Garden just behind the new office? You know, just off Congress? Now where did I hear that that's where the monitoring crowd hangs out? Here's how it works Zorba. You see, certain regimes don't think it's all that wise to let the bad guys receive lots of money without a trace. So they assess. Then, if they need to, they infiltrate. Why? So they can throw a spanner in the works. Stop the thing. Kill it in the womb, so to speak. Then they quietly go away.

Do you have the picture now? Are you sure you want to keep pushing that particular rock up the hill?

Oh, yes, before I forget. One of the big lies has been copied, and posted in a very public place. So you can scour the archives all you want now, Zorba, the smoking gun is hanging right out there in plain sight. You'll never find it though. You are too stupid to know where to look.

Guess what comes next, Zorba? Ole! The Spanish Armada is going to want to see the ship before they buy. That will be the second condition. One. Zorba goes overboard (already agreed). Two, we want to test drive (negotiationg now, and they are now very suspicious about the foot-dragging). And guess who pudgy puppet gets to blame for the failure? Why, marketing of course, and that is the public story explaining why Zorba went overboard. Zorba failed to make the test drive happen for this important deal, dear public, we've had to separate Zorba for failure to perform. Poor Zorba. Buying into the real estate bubble in the most overheated market, and with his grandiose scheme down the sewer. Two sets of docs - one for them (the real ones), and the ones they are letting you see. Too bad you weren't there Zorba. It's till not too late. But it soon will be.

Better check out the lines of communication, Zorba. The consultant with the Brinx truck has friends in Montreal that really like to play Mah Jhong. Those friends have lawyers. Those lawyers have friends. Word gets around. 6 degrees of separation and all that. Did you know there is a deal for the family jewels that cuts you out? Better get on it Zorba. The Brinx truck is not your friend. He's between you and serious falouse. There's an offshore you don't know about - for the two old pals that go way back. It's the Piscean guy's idea. He'll deny it of course. But what's taking them so long? Too bad you're not there. Oh, gotta go... it's Montreal calling again...

Recently heard inside the Durham Cathedral - "why are we sharing any of this with Zorba? we don't need him... he's a liability actually... let's cut him out now before the big money comes". Offshores are a double edged sword, don't you know. Better check out who is who in those agreements. Did you make sure your puppet actually plans to return? Well, maybe once more, to pack up. He's confided in his Piscean pal how glad he will be to be free of you. Piscean Pal has been telling him this for a long time. The break's been good for him, apparently. Nice lifestyle. No puppet-master. Freedom. Financial security.

Big mistake not to be there Zorba. The room has ears - very big ears, don't you know. On both sides of the table.

Zorba, the souvlaki is much better when all trussed up and slowly roasted. If you are too blinded with greed to understand this now, it will become clear soon enough. Zorba has competition. Says he has the resources. Says Zorba doesn't. Zorba can't. It's all so interesting.

He knows that DickBreath is the skunk in his woodpile. Have a nice day.

Now, that Costa del Sol villa salesman is plenty steamed. Did you get your chunk of that new offshore by the way? You see, the way the deal works is that the thing has to be cleaned up by transitioning to a new offshore. Something about how the Ivory Tower likes it that way. I must say, it looks a good plan on paper. Nice and clean. And, DickBreath removed from the scene. But there isn't much time left. If you're going to succeed, you have to act very fast. The window for DickBreath to act is very small - 48hrs tops.

Wonder who will come out on top with the goodies? Pudgy Puppet and the Piscean guy with their stealthy Malta biz? Or DickBreath and his trusty little spy compadre? It's coming down to the wire, as the Black Sheep would say.

That twit in Spain is really not spending too much time on your bank account, DickBreath. Oh, by the way, nice move on the last document post, but leaving your name there in plain view was a bit transparent. The pudgy puppet agrees. He's not fooled. By my calculations, your window is now down to about 24hrs. Wonder what they're loading onto that van down by the waterfront? And why the big hurry?

The Piscean guy is shaking in his boots, DickBreath. Looks like you've got him right where you want him.

The field is yours, DickBreath. Go nuts. This should be fun to watch.
