The guy just doesn't stop with his massive PLNI disinformation campaign.

Mr. Rick Matthews attempts to mislead the investment public by posting positive informaiton about a company, Semco, Inc. from a Better Business Bureau Report on the PLNI IHUB message board:

The problem with this is that according to the 10-K and the two 10-Qs that have been recently filed with the SEC by PLNI, and according to the 15c2-11 filed with pinksheets.com by PLNI, and according to all the press releases issued by PLNI regarding acquisitions, Semco, Inc. was never in negotiations to be acquired by PLNI and Semco Inc. was NEVER ACQUIRED BY PLNI.

Yet another attempt of disinformation regarding PLNI by Mr. Rick Matthews. There is so little positive information on PLNI for Mr. Matthews to post on message boards, that he further continues with his disinformation campaign in a bold attempt to mislead the investment public as he is now down significantly on his $50,000 to $70,000 PLNI investment.

How sad, how very sad indeed.

Pay attention as he tries very hard to defend PLNI.

In the opinion of the_worm06, PLNI will probably be known as one of the top five biggest frauds in penny stock history and yet Mr. Rick Matthews is blaming the message board posters for the "informal inquiries" that have been initiated by the SEC on PLNI.

Mr. Rick Matthews is down about 70% from his approximate $50,000-$70,000 investment in PLNI, and he strongly believes that his posted messages might clear the fraud that is being committed by PLNI. Mr. Rick Matthews fails to comment on the fraudulent false and misleading statements made by PLNI in their 15c2-11 filing with pinksheets.com regarding their net loss for the March 31, 2006 quarter when compared to the same period in 2005.

Mr. Rick Matthews continues to blame the message board posters for the significant drop in the stock price of PLNI, yet he again fails to answer the question of whether PLNI has ever closed the acquisitions of Pro Mold, Inc. and Semco Manufacturing, Inc. - Instead, Mr. Rick Matthews concentrates on pictures taken of the Pro Mold, Inc. facilities by one of his "crew" on July 14, 2006, falsely insisting that this is proof that PLNI owns Pro Mold, Inc.

What good does any increase in production by Pro Mold, Inc. and Semco Manufacturing, Inc. do to PLNI stockholders if these entities are not owned by PLNI?

Pay attention to the post below by Mr. Rick Matthews regarding a recent visit by one of his "crew" to the Pro Mold, Inc. facility in St. Louis.

In view of the importance on whether the Pro Mold, Inc. acquisition by PLNI has been formally closed and whether PLNI currently owns Pro Mold, Inc., it appears that Mr. Rick Matthews does not post any information on the closing of the Pro Mold, Inc. acquisition.

It appears that only comments about the pictures taken of the Pro Mold, Inc. facility are posted.

Why is this?

The only important pictures that should be discussed should be pictures of the documentation verifying that PLNI has closed the acquisition of Pro Mold, Inc. and now owns Pro Mold, Inc.

It seems that Mr. Rick Matthews, the PLNI promoter, who received his undergraduate and masters degrees as a part-time and night-time student at a Southwest agricultual school continues to attack people regarding their level of education. This individual continually bragged about his college education until the_worm06 publicly showed that the only way he could have achieved his college education was through part-time schooling, unless, of course, he started college at the age of 10.

It turns out that many of the people that he has attacked on the education issue actually have undergraduate degrees and MBA's from top five schools such as Princeton and Stanford, which, of course were attended full-time. Could this lack of quality education obtained by this individual be the reason why he has harrassed, threatened with physical harm and libeled many of the people that have brought out the details of the PLNI frauds, thereby hindering his PLNI promotional efforts?

Some background:

1. PLNI issued press releases specifically stating that PLNI had agreed to acquire Semco Manufacturing, Inc.

2. PLNI issued press releases specifically stating that PLNI had completed the acquisition of Semco Manufacturing, Inc.

3. PLNI issued press releases specifically stating the substantial new business of Semco Manufacturing, Inc.

4. In the AUDITED 10-K filed with the SEC, PLNI spefically stated that it had purchased the controlling shares of Semco Distribution, Inc., a Nevada corporation and Ultimate Surface LLC, a Nevada limited liability Company.

5. No where in the AUDITED 10-K is Semco Manufacturing, Inc. mentioned by PLNI.

6. Now Mr. Rick Matthews is attempting to mislead the investment public again by stating

"...which of these two is the Parent company or controlling authority for Semco manufacturing..."

Yet, at no point are these alledged control relationships mentioned in the 10-K.

1. He copies wording from the PLNI 10-K filed with the SEC that states that PLNI completed the acquisition of Semco Distribution, Inc.


2. He then goes on to say that Semco Distribution, Inc. is the same as Semco Manufacturing, Inc., which is an absolute total lie....Semco Manufacturing, Inc. is a completely different entity than Semco Distribution, Inc.


3. A full inspection of the 10-K further shows that no where in the 10-K does it state that PLNI completed the acquisition of Semco Manufacturing, Inc. This is very very important, because it is this entity that PLNI has publicly stated that it has acquired. It is this entity that has been used by PLNI to pump and hype the stock price of PLNI through press releases.


4. In yet another attempt to deceive through disinformation, this same poster copies the following from the 10-K regarding Pro Mold, Inc.:

"The acquisition of Pro Mold, Inc., allows the Company, for the first time in its history to completely control the manufacturing process from procurement of the resins to production of the end user product."


Yet Rick Matthews fails to include that the above sentence refers to the following statement in the same document:

"On December 5, 2005, the Company entered into an agreement to purchase ProMold, a Missouri corporation, for a purchase price of $3,500,000..."


5. As you can see in #4 above, at no point has PLNI stated in the 10-K that it HAS COMPLETED THE ACQUISITION OF Pro Mold, Inc....at no point. This poster is attempting to convince the investor audience that this proves that PLNI completed the acquisition of Pro Mold, Inc., which is a false and misleading statement, according to PLNI's documents filed with the SEC.



Very very sad indeed how hard this individual is trying to deceive the public into thinking that Pro Mold, Inc. and Semco Manufacturing, Inc. have been acquired by PLNI, when it is PLNI's own documents filed with the SEC that show otherwise.

Even though he is in correspondence with Mr. Murphy, why is it that Mr. Rick Matthews has failed to publicly state whether Pro Mold, Inc. has been acquired by PLNI and whether Pro Mold, Inc. is owned by PLNI?

Is it because the acquisition of Pro Mold, Inc. by PLNI has not been completed yet?

He refers to the PLNI Audited 10-KSB for 2004 filed with the SEC, yet this very document fails to state that the PLNI completed the acquisition of Pro Mold, Inc. and this document fails to state that PLNI owns Pro Mold, Inc., as of the date of the SEC filing, May 4, 2006.

In the most bizarre statement by Mr. Rick Matthews to date, he states that:

"...There is no evidence whatsoever to indicate that the Pro Mold acquisition has been recinded. A recindment of the agreement is a material event and would be announced to the public..."


Huh?

Whoaaaaa there, hold it a minute - since when does PLNI announce material events?

What happened when BlueLinx informed PLNI during the first quarter of 2005 that its products were not up to specifications and had to be returned?....This certainly would be considered a material event, yet PLNI took more than one year to inform the public investors of this event. This is particularly important because through press releases during 2005 PLNI had led the investment public to believe that its revenues were into the millions of dollars for 2005, compared to the minimal net revenue of only $65,565 that was finally reported by PLNI for all of 2005.

What happened when when PLNI issued to James N. Turek, Sr., its CEO, 4.3 billion of the 5.0 billion PLNI common shares outstanding between January 1, 2004 and March 31, 2006?...This certainly would be considered a material event, yet PLNI did not make this public information until several years later.

What happened when James N. Turek, Sr. sold approximately 4.1 billion of the 4.3 billion common shares that he received from PLNI?...This certainly would be considered a material event, yet PLNI has yet to announce this event.

What happened when PLNI commited to issue its CEO, James N. Turek, Sr. Preferred Stock that is convertible into 7.3 billion PLNI common shares in return for the the forgiveness of only about $5.7 million in debt?...This certainly would be considered a material event, yet PLNI did not make this public information until months later.

What happend when PLNI increased its authorized common shares from 3.0 billion to 5 billion and then to a whopping 13.5 billion common shares?...this certainly would be considered a material event, yet the investment public had to find out not through PLNI, but by individuals that happened to review the Wyoming corporate web page on PLNI.


The questions remain:

Has PLNI completed the acquisition of Pro Mold, Inc.? - Yes or No?

If so, then when was this acquisition completed?

And if it was completed, then does PLNI still own Pro Mold, Inc.? - Yes or No?

It certainly seems that this PLNI stockholder, Mr. Richard R. Matthews, does not know who really owns Pro Mold, Inc.

Why is this?

Is it not important to know whether PLNI has completed the acquisition of Pro Mold, Inc. and whether PLNI currently owns Pro Mold, Inc.? - after all, a significant amount of the assets of Pro Mold, Inc. are included in the UNADITED Balance Sheet of PLNI for December 31, 2005 and March 31, 2006.

If Mr. Rick Matthews knows that PLNI owns Pro Mold, Inc., then why is he not showing the proof?....why is he not posting the results of conversations that he has had with PLNI or Pro Mold, Inc.? ---after all, does he not claim that he does significant due diligence on the stocks that he owns?

OT: Out of context scion. The pinworms need to do a better job of research. The question was whether he was selling his personal shares for personal profit. What he was actually doing is using the shares to buy two companies and additional manufacturing capability. So how come you haven't discussed the float?


It's OK... you guys have been missing the mark for almost a year now. I wouldn't expect much else from the pinworms crew.

The company business plan is a company proprietary document. Does scion know that he can be legally accountable for publishing it? Also, a company proprietary document is not binding on the company unless it has been publically released to shareholders by the comapny. How did scionist get a copy? He says he has never held shares. Did the company publish it?
